福井日銀総裁の村上ファンド出資と、日本版ブラインド・トラスト制度の必要性

null今回の福井総裁の村上ファンド問題については、外国紙のほうが厳しい見方をしているようだ。

ウォールストリートジャーナル紙も、「Japan’s Central-Bank Chief Vows to Keep Post」との論評を掲載している。

また、Bloombergのコラム「Bank of Japan Scandal Last Thing Japan Needs」(同じ記事が、ヘラルドトリビューン紙で「Commentary: A whiff of scandal stymies Japan」として紹介)では、「一国の中央銀行への信頼性は、日銀総裁という一人の男よりも、より、守るべき大きなものである。」(Central bank credibility is bigger than one man)と、暗に当然辞任に価するといいきっている。

そのなかで、フィナンシャルタイムズの「Mr Fukui’s apology」では、「ブラインド・トラスト制度の欠如」(poorly with the strict disclosure or “blind trust” requirements for senior positions in the central banks and governments of other big economies)という言葉を使って、日本での「ブラインド・トラスト制度の欠如が、今回のような問題を引き起こした。」と指摘している。

すなわち、「厳格なディスクロージャーが、(日本において)不十分であること、または、他の経済大国の中央銀行の上級職や、政府部門の上級職においては、必須条件とされている、ブラインドトラストの(日本における)不十分さ」にあるとし、日本のこの種の問題についての制度的条件の不備をいっている。

更にまた、この記事では、

「福井日銀総裁の村上ファンドへの投資が、このような騒動(furore)を起こした理由として、二つの理由があり、
ひとつは福井氏自身が、村上氏や堀江氏に代表される日本のキャピタリズムの近代的かつ攻撃的なあり方についてのサポーターであったこと、
第二は、ゼロ金利解除を目前にして、このスキャンダルによって、日銀の信頼性を自ら掘り崩している猶予が無かったこと。」
とし、

「福井日銀総裁は、この嵐を何とか、切り抜けよう(weather)とし、政府や内閣に対し、不十分さを謝り、小泉総理は、「これは問題ではない。」とし、また、日銀は、「福井総裁は、規則違反をしていない。」としている。
しかし、問題は、その規則そのものにある。
むしろ、それらのことが規則に欠如していること、そのこと自体こそが問題なのである。
日銀の政策委員会の次期メンバーは、利害の不一致についてのいかなる提案をも避けるために、彼らの投資をトラストに置くことをアドバイスはしたが、それは、義務とするものではなかった。
しかも、資産のディスクロージャーを強制するものでもなかった。」
といっている。

また、先に紹介したBloombergのコラム「Bank of Japan Scandal Last Thing Japan Needs」でも、「日本の中央銀行は、世の中に、ブラインドトラストという言葉があるのをしらなかったのか?」と、呆れ顔である。

この「ブラインド・トラスト」という言葉、そのまま、日本語に訳せば「白紙委任」ということであるが、外国では、「公職者の不正な財産増殖を防ぐため,財産を信託会社に登録させて管理する 制度」が、完備されているようだ。

このブラインド・トラストという制度は、「受益者と投資者との利害の不一致によるトラブルを回避するために、第三者に、自己の財産の裁量権を任せる」というような形で使われているようだ。

具体的には、ここの、ブラインド・トラスト合意書の雛形に見るように、利益抵触に関する法律(the Conflicts of Interest Act)などにしたがって、settlor とよばれる 財産譲渡者と、Trusteeと呼ばれる財産管理受託者との間の合意に基づくものである。

特に、民間から、官の地位になった場合には、このブラインド・トラストに自らの財産や運用資金を任せ、白日の下で、これらの運用資産を第三者に任せることによって、今回の福井総裁のようなインサイダーの疑惑などから回避することができるというもののようだ。

そして、その人物が、再び、普通の地位に戻った場合には、自らの手に、運用資産は、戻ってくるということになる。

この制度は、官と民との間の出入りが激しい、政治家や、政府部門スタッフなどよく使う方法のようだ。

信託された機関と、資産の保有者とは、情報的にも、セパレートされるわけだから、インサイダーの疑惑からは、一応解放されるということになる。

また、もし、スキャンダルの疑いをもたれた場合でも、ブラインドトラストの契約をしていれば、一応の免責要件が整うということになる。

もっとも、このブラインド・トラストの契約によっても、インサイダーの疑惑が生じる場合もある。

アメリカのBill Frist上院議員の場合は、彼の同属会社であるHCAという病院チェーンの株を、ブラインド・トラストで、処分した2週間後に、このHCA株が、15パーセントも下落したことで、「本当にBill Frist上院議員は、自らの資産処分に関して、ブラインドだったのか?」とのインサイダー疑惑が生じた例もある。

2003年に、the World Economic Forum (WEF)の開催と並行して、Friends of the Earth InternationalなどのNGOが参加して行われた「The Public Eye on Davos」では、「信頼の構築-building trust-」をテーマに話し合われ、ブラインド・トラストでは不十分であるとの認識に立って、より、多国籍企業においても通用しうる制度の確立を提言している。

このように、決して、完璧な制度ではないブラインド・トラスト制度ではあるが、今回の福井日銀総裁のスキャンダルを契機に、とりあえず日本版「ブラインド・トラスト制度」確立を図るという検討課題も、あるのではなかろうか。

今回の事件を単なる一スキャンダルにとどめるのではなく、この際、公人にとっての日本版「利益相反に関する規則」(Rules on conflicts of interest )の確立という制度的な面での手当ても、必要なものと思われる。

Article 1.2.14

1.2.14. The Executive Board shall determine those members of staff who, by virtue of the exercise of their employment, profession or duties, are deemed to have regular access to inside information concerning the monetary or exchange rate policies of the ECB or the financial operations of the ESCB. Such a decision by the Executive Board shall automatically become part of the Staff Rules.
Those members of staff shall provide the ECB’s External Auditor with the information hereafter on a confidential basis. This information shall be provided to the ECB’s External Auditor by each individual member of staff on a semi-annual basis and shall include the following:
— a list of his/her bank accounts, including custody accounts and accounts with stockbrokers,
— a list of any powers of attorney which third parties have conferred upon him/her in connection with their bank accounts,
 ncluding custody accounts,
— his/her general directives or guidelines to third parties to whom responsibility for managing his/her investment portfolio has been delegated (1).
((1) Members of staff identified in accordance with Article 1.2.14 may
wish to consider taking the opportunity to delegate the management of their investment portfolios to third parties, such as ‘blind trusts’, mutual funds, etc.)
In the same context, those members of staff shall provide the ECB’s External Auditor additionally at the latter’s request with the following documentation:

— any sale or purchase of assets (including transferable securities, foreign currency, and gold) or rights (including rights under derivatives contracts or closely related financial instruments) conducted by the member of staff at his/her own risk and for his/her own account, or conducted by him/her at the risk and for the account of third parties as defined in Article 1.2.9,
— statements of bank accounts, including custody accounts and accounts with stockbrokers; the conclusion or the amendment of mortgages or other loans at his/her own risk and for his/her own account, or by him/her at the risk and for the account of third parties as defined in Article 1.2.9,
— his/her dealings in relation to retirement plans, including the ECB retirement plan. 
All information provided to the ECB’s External Auditor shall remain confidential.
In derogation from the abovementioned rule, a report by the ECB’s External Auditor to the ECB’s Directorate Internal Audit for the further investigation of a specific case in accordance with Article 1.2.16 shall contain the information received from the member of staff concerned.
